STARTING POLICY

Up to 5% of eligible net profit. Not 5% of every purchase.

The active rate will be configurable and published with the applicable products and cycle. The final definition requires accountant and legal review before the first public campaign.

WHERE THE VOTE CAN GO

Guests choose the category. The owners verify the recipient.

Categories are configurable. The winning category does not trigger an automatic transfer. Owners research and approve a qualified, reputable recipient and complete any required agreement first.

THE SIX-MONTH CYCLE

Vote. Verify. Transfer. Reconcile. Show the receipts.

  1. Eligible On the Clock members receive base voting access approximately one month before close; eligible Off the Clock members may also receive capped extra vote credits subject to the final rules.
  2. Votes may be allocated among approved cause categories, subject to the final cap and change rules.
  3. After close, the result is audited and presented to the owners.
  4. The owners investigate the winning category and approve a recipient in good standing.
  5. Required agreements, payment, evidence, accounting, and reserve reconciliation are completed.
  6. The public history receives the amount, date, recipient description, and appropriate evidence.

Good intentions still need paperwork.

Cause marketing

California commercial co-venturer and charitable-fundraising-platform analysis, other applicable state registrations, agreements, disclosures, and reporting.

Money and tax

Reserve accounting, transfer timing, interest, expenses, recipient eligibility, tax treatment, and whether any purchase is deductible.

Recipient structure

Qualified nonprofit, community organization, fiscal sponsor, scholarship partner, or another professionally approved structure.

SEPARATE RESERVE

Protected from ordinary operations. Reconciled every month.

The recommended structure is a separate insured business savings or bank subaccount with restricted access, accounting-restricted fund tracking, transaction-level references, and separate interest entries. No account will be opened or connected without owner and accountant approval.

TAX CLARITY

A purchase is not automatically a donation.

Guests must not be told their retail purchase is tax deductible unless counsel and the tax professional confirm that statement for the exact program structure.

FOUNDING-CYCLE QUESTIONS

When does the first six-month cycle begin?

No date has been approved. The public start date, voting window, and closing date will appear only after the commerce, accounting, reserve, identity, and cause-marketing reviews are complete.

Who will be able to vote?

The proposed program gives eligible On the Clock members base voting access. Eligible Off the Clock members may receive capped extra credits from qualifying activity, subject to the final cycle rules. Final eligibility, caps, expiration, gift-card treatment, and reversal rules require owner and professional approval.

Where are the past recipients?

There are none yet. Historical giving is $0. After an approved disbursement actually occurs, the public history can show the amount, date, recipient description, winning category, and appropriate evidence.
